The Assumptions AI Makes For Drafting SaaS SLAs

What AI assumes is “safe” is often where contracts fail.

AI works on assumptions, but real-world contracts don’t fail because something was “missing” - they fail because something was assumed incorrectly.

That’s the uncomfortable gap between how AI writes and how enterprise agreements actually operate. AI is extremely good at producing fluent, structured contract language quickly.

But it tends to fill in blanks with what is “usually true,” not what is true for this specific deal. And in legal drafting, “usually” is exactly where risk hides.

This is why experience still matters. A seasoned lawyer is not just reading what is written - they’re reading what is implied, what is missing, and what is dangerously oversimplified.

Most contract issues don’t come from bad writing; they come from unnoticed assumptions that later turn into disputes.

So instead of treating AI-generated contracts as finished drafts, it helps to think in terms of decision boundaries: what can safely be automated, and what must always be validated by domain expertise.

The goal is not to slow AI down, but to prevent it from silently making decisions that it was never qualified to make.

This becomes especially important in SaaS enterprise SLAs, where the stakes are high and the language is deceptively standard. On the surface, many clauses look routine.

But under that surface, AI is often relying on assumptions that don’t hold up under negotiation or enforcement.

1) Assumption: “Standard liability language is fine.”

AI often generates limitation-of-liability clauses that appear balanced and conventional, but “standard” rarely means “suitable.”

In enterprise deals, liability is tightly linked to the size of the contract, the nature of the service, and the potential downstream harm if things go wrong.

A clause that looks safe in isolation may be misaligned with the actual commercial risk.

Without legal review, caps may end up too low to be meaningful or too broad in ways that expose one party disproportionately.

Equally important are carve-outs such as data breaches, confidentiality violations, or IP infringement, which AI may mention but not structure with the precision required for enforcement.

These are exactly the details that determine how risk is actually allocated when a dispute arises.

2) Assumption: “The service terms are enough.”

AI often treats SLAs as if core operational expectations are universally understood. It may define uptime percentages or support availability, but it tends to assume that these terms are self-explanatory.

In enterprise environments, they are not. Every operational metric needs a definition: how uptime is measured, what counts as downtime, which systems are included or excluded, and how exceptions like maintenance windows are handled.

The same applies to support obligations - response times without severity definitions or escalation paths can become meaningless under pressure. Termination rights, breach response timelines, and remedies must also be explicitly structured.

Without this level of precision, what looks like a complete SLA is often just a set of loosely aligned expectations that break down during real incidents.

3) Assumption: “Data and IP ownership are implied.”

AI can be especially inconsistent when it comes to ownership clauses because it tends to rely on generic distinctions like “customer data” and “company IP.”

In modern SaaS contracts, especially those involving integrations, APIs, or AI-generated outputs, these boundaries are rarely simple.

Questions around who owns derivative outputs, how customer data is processed or stored, whether logs contain sensitive information, and what happens to data after termination all require explicit definition.

Without clarity, there is a risk of unintended shared ownership, ambiguous licensing rights, or unresolved rights over outputs generated during service use.

These gaps are not theoretical - they often surface later in audits, compliance reviews, or commercial disputes.

Conclusion

The core issue across all three assumptions is not that AI is “wrong,” but that it is confidently incomplete. It fills gaps with plausible defaults, but enterprise contracting is built precisely on removing ambiguity - not accepting it.

AI is extremely useful in accelerating drafting. It can generate structure, propose clause language, and help standardize documentation at scale.

But it cannot reliably distinguish between what is conventionally written and what is commercially or legally appropriate for a specific transaction.

The practical approach is not to replace AI, but to reframe its role. Let it handle the first draft, the repetition, and the scaffolding. But treat every clause it produces as a set of assumptions waiting to be validated - not as a finished legal position.

Because in contract work, risk rarely appears in what is explicitly stated. It appears in what was quietly assumed and left unchecked.
