My 4 Must-Have In NDAs For Product Owners

Especially if you are hiring someone

SaaS niche is an exciting niche for me.

And luckily...

Some people build in public.

Others choose to build in stealth.

Now building in public allows you to share a lot about your software or application.

But even then, you don’t share everything!

A lot of product owners are also building their brand on social media.

This helps get the software in front of more people.

If you’re hiring a ghostwriter to grow your brand...

...there’s one thing you absolutely need:

An NDA.

This NDA needs to have a few clear points:

1. Define Confidential Information Clearly:

Be specific about what is considered confidential information.

Being vague won’t help you enforce the NDA.

For example, include things like design documents, source code, and proprietary algorithms.

2. Specify Obligations of the Receiving Party:

Detail the specific obligations of the party receiving the information.

For example, restrict the information to authorized personnel only.

This will ensure your secrets stay secret.

3. Remedies for Breach:

Now the next step is to specify what happens if the contract is broken.

Will you be paid damages? Can you sue?

Be clear about the consequences.

4. Non-compete and Non-solicitation Clauses:

Make sure the ghostwriter can’t take your information and start their own company.

Also, they shouldn’t be able to solicit your clients or employees.

These are the key points I focus on when drafting a contract.

Now each situation may have unique needs.

But these basics will protect your interests.

Let me help you understand it better with two scenarios:

Scenario 1: With a Solid NDA

Sarah is a SaaS product owner building in stealth.

She hired a ghostwriter and used a good custom NDA.

The NDA clearly defined what information was confidential.

It also included specific obligations, remedies for breach, and non-compete clauses.

The result?

Sarah’s project stayed under wraps.

And her ghostwriter helped build her brand without leaks.

Because the ghostwriter knew what to share and what not to share online.

Not only that, the ghostwriter was EXTRA careful because he/she knew what would happen if the information was leaked.

Scenario 2: Without a Solid NDA

Tom, another SaaS product owner, skipped the NDA details.

He hired a ghostwriter but used a generic NDA.

The ghostwriter shared confidential information accidentally because he/she didn't know what was confidential to begin with.

Tom’s project details leaked, and his brand suffered.

The element of surprise was gone.

Months of work were gone.

And now people can easily take his idea, tweak it, and make it their own.

That's why NDAs are given so much importance for any SaaS owner.

It makes sure your secrets remain safe and your brand grows smoothly.

So don't leave anything to chance.

Make sure your NDA covers all the necessary points.

By doing so, you ultimately protect your hard work and investment.

And you can focus on building an amazing product in stealth.
